Senior Corporate Counsel to join its

Legal team in

LaVergne, TN just outside Nashville. The successful candidate will have significant experience providing sound advice to, and drafting and negotiating commercial agreements for, a complex business. The candidate should also have a strong working knowledge of intellectual property rights in content as well as experience maintaining a company’s trademark and patent portfolio.

In this role you will partner with the Chief Legal Officer and other attorneys in directing and managing legal affairs for Ingram Content Group, assuring compliance with laws, rules and regulations affecting the company, giving advice to various departments and businesses on a wide range of legal issues, and engaging and managing outside counsel as needed. The ideal candidate will have some In-House Counsel experience

Required Qualifications:

  • JD degree from an accredited law school
  • Admittance with a license to practice law as a member of the bar of one or more states and eligible to register as In-House Counsel in the State of Tennessee
  • 5 years of inside or outside relevant counsel experience

Preferred Skills:

  • 8-10 years relevant experience as part of a law firm and as in-house counsel preferred

Key Responsibilities:

  • Serves as the primary in-house counsel to support Ingram’s Lightning Source Print-on-Demand / Distribution business unit on all legal, strategic and corporate matters.
  • Serves as the primary in-house counsel to manage the Ingram intellectual property portfolio including, without limitation: working with outside counsel to register and maintain trademarks and patents; providing advice and recommendations regarding IP issues relating to ICG’s purchase and distribution of content; and updating company leadership on a quarterly basis regarding all IP matters.
  • Provides legal counsel for Print-on-Demand / Distribution and other Ingram Content Group businesses, as requested, in the context of strategic and tactical objectives of the business, balancing the need for practical legal/business solutions with legal risks in the following areas: commercial contract drafting and interpretation; antitrust; employment, data privacy, intellectual property, commercial disputes, litigation, bankruptcy and any other legal matters that arise.
  • Partners with and provides general counsel on a variety of legal matters to, executive leadership, business units and shared services.
  • Works with the Chief Legal Officer of Ingram Content Group in determining cost/benefit of providing legal services in-house vs. outside law firms and manages outside legal firm legal fees and expenses.
  • Monitors & keeps updated on new developments in laws, rules, and regulations in the book industry.
