Come aboard, we’ve been expecting you!JOB SUMMARYGeneral Counsel with an extremely strong transactional, regulatory and or aviation background to negotiate and close complex commercial (and international) transactions, including M&A, strategic partnerships, and key commercial agreements with new customers. Lead legal support for Aviation and Regulatory related matters. Lead and provide direction for team of specialist Senior Counsel(s) and subsidiary legal leaders. Act as PAC’s primary antitrust and customs attorney. Interface at a senior level to plan and support process and communications cross-functionally. Develop and support long term planning and strategic vision of the group.RESPONSIBILITIESAviation and Regulatory Law Counseling

Provide actionable legal advice in the aviation and regulatory and specialist legal areas. Act as primary aviation attorney for PAC.

Regulatory functions shall include satellite/telecom regulatory, customs/trade compliance and Antitrust.

Review and implement aviation, satellite regulatory, and customs best practices. Formulate and implement policies, procedures, methods, operating practices and performance standards. Ensure policies meet audit requirements.

Ensure direct report are adhering to all applicable Legal and Financial policies & procedures.

Develop and implement long-term strategic vision and set broad function wide objectives.

Develop and lead process improvements; review and modify forms and templates

Conduct gap analysis at the senior level to determine how to improve the effectiveness and efficiency of the group.

Plan short- and long-term goals, priorities and activities.

Legal Management – Key Subsidiaries and Legal Specialists

Supervise, Manage and Coach senior staff in the legal department, which may include the legal leaders of key subsidiaries and affiliates and legal specialists such as the SAAS/Technology Transactions, Privacy and IP attorneys.

Hire, train, supervise and appraise direct reports.

As needed support the negotiation of complex customer SaaS agreements, content and other license agreements, and other key commercial agreements with customers, including complex and high value contracts, while ensuring compliance with company policies and risk profile

Manage IP Specialist and ensure protection of key Patents and IP.

Manage Privacy team and ensure compliance with GDPR, CCPA and the execution of key data and product strategies.

Participate in P&L reviews with executive management, elevating areas of contractual risk and presenting recommendations to mitigate risk.

M&A, Corporate Transaction Counseling and Administration

Support and advise internal stakeholders in connection with complex M&A transactions.

Interface with senior management to establish corporate strategic plans and objectives.

Establish, monitor and manage department budget working at the direction.

Respond to legal inquiries and challenges.

Respond to senior management inquiries, provide presentations and status reports.

Participate in senior management meetings and fulfill assigned action items.

Additional Duties & Responsibilities

Support of the corporate and legal functions of the organization as needed.

Ad hoc projects as assigned.

EDUCATION/EXPERIENCE REQUIREMENTS

J.D. with at least 10 years of relevant legal experience. Including large law firm experience and experience practicing in-house at an aviation related company preferred.

Active California bar license.

OTHER REQUIREMENTS

Travel up to 15% both domestic and internationally.
