This position reports to the VP, Corporate Secretary.We are looking for a securities professional who is looking to join a dynamic and fast-paced in-house legal department that works collaboratively with members of the legal team and our business-partner clients to support a future of growth for the Company. We are looking for someone who produces a high-quality work product, demonstrates initiative and works with minimal supervision. He or she needs to meet deadlines, be able to handle multiple projects simultaneously, and have strong attention to detail and process-orientation.Responsibilities:

Assuring compliance with securities reporting obligations, including drafting and filing Forms 3, 4, 5, 10-Q, 10-K, 8-K, S-8, and SD;

Assisting in preparation of the proxy statement;

Managing compliance with the Company’s insider trading program, including:

maintaining the insider list,

coordinating trade clearance requirements,

communicating blackout periods to insiders and plan administrators, and

reviewing and finalizing employee 10b5-1 trading plans with brokers;

Maintain Section 16 Reporting Persons holdings data.

Coordinating the annual meeting of stockholders, including drafting the chairman’s script and other meeting documents.

Monitoring and assuring compliance with other SEC and regulatory requirements.

Assuring compliance with NYSE listing and reporting requirements.

Supporting M&A, financing, and credit facility transactions.

Backing up colleagues in the Corporate Secretary’s office with respect to corporate governance and subsidiary matters.

Handling other duties and special projects as assigned.

Basic Qualifications:

Master’s Degree or 8 years of equivalent experience at a law firm and/or corporate legal department is required.

Proven successful project management skills.

Proven expertise in MS Office Suite (e.g., Word, Outlook, Excel, PowerPoint), Adobe.

Experience with HCue (Section 16 reporting) preferred.

Excellent facilitation and presentation skills.

Excellent problem-solving, organizational, analytical and critical thinking skills.

Excellent communication skills and interpersonal relationship skills including negotiating and relationship management skills with ability to drive achievement of objectives.

Recognized as an expert in own area with specialized depth within the organization.

Expert knowledge and understanding of Edwards policies, procedures, and guidelines relevant to subject matter.

Strict attention to detail.

Ability to interact professionally with all organizational levels and proactively escalate issues to appropriate levels of management in the organization.

Ability to manage competing priorities in a fast-paced environment.

Represents leadership on projects within a specific area interfacing with project managers and finance team including regular contact with company executives, clients in all business units and work with attorneys across the Legal Department, including legal analysts, and support staff.

Consult in project setting within specific area.

Adhere to all Environmental Health & Safety rules and requirements and take adequate control measures in preventing injuries to themselves and others as well as to the protection of environment and prevention of pollution under their span of influence/control.

Preferred Qualifications:

Experience in healthcare or medical device industry is preferred.
