Legal Counsel

Job Description

• Draft, review, and negotiate contracts for agency, clients, vendors, talent/influencer, digital media, advertising, marketing/PR, terms and conditions, data/IP licenses, SaaS & software and creative production
• Advise and counsel BU’s on planning, buying, and placement of traditional, mobile, social, and digital media ads, as well as the execution of digital marketing, custom content integration programs, DTC campaigns and creative
• Counsel BU’s on intellectual property matters including copyright and trademark, media-related matters including, privacy and data protection
• Provide litigation support, supervision and coordination with external counsels
• Counsel and advise BU’s and teams in a timely manner on legal and business issues, including commercial and financial risks, contract interpretation, and other issues
• Assist on corporate governance issues and transactions, including mergers and acquisitions and integration

Qualifications

• JD from a US ABA-accredited law school
• Member of CA State Bar
• 2-5 years of relevant in-house law department and/or law firm experience, preferably related to advertising
• Commercial contract negotiation and drafting experience
• Experience with copyright, trademark, general IP issues, privacy and data security issues and compliance
• Excellent written and verbal communication skills, proactive, team player and ability to partner and work with several BU’s and functions
