Report to Treasurer to provide management and analytical support on corporate and project financings and interface with external parties (e.g. rating agencies and lenders) and internal groups (e.g. business units and other corporate functions)

Essential Duties/Responsibilities:

Identification of Financing Sources/Development of Financing Plan: Prepare or participate in the development of preliminary or final financing plans for transactions. Provide financial input to the project team to ensure that the project is structured to ensure appropriate financing. Provide input to the project team on other commercial/business issues of transaction.

Implementation of Finance Plans/Negotiations of Finance Agreements:Communicate with bankers to resolve open issues with potential/actual lenders, lead the negotiations of financing documents and when necessary negotiate finance documents, including negotiation of loan agreement

Financial Modeling:Provide oversight and review of project financial modeling throughout the development and closing process to assure that NRG prepares accurate financial models. Supervise and/or assist Regional and business unit Financial Managers and Analysts in the modeling process as needed. Communicate with banks, partners, financial advisors, etc. in regard to the model.

Accounting/Tax/Legal Issues: Communicate with NRG accounting/tax/legal/risk and appropriate outside advisors to ensure the accuracy of models and resolve accounting/tax issues.

Liaise with Rating Agencies, lenders and, from time to time, investorsto communicate the company financial strategy and projections

Other Essential Functions: The Director, Finance will be responsible for leading other special projects as they arise. Typical responsibilities will involve modeling, analyzing and assessing various aspects of transactions. Model inputs, economic valuation and viability of related financings will also be studied with respect to these projects. The Director, Finance will lead the development and implementation of evaluative tools and methodologies including modeling guidelines and financial policies

Working Conditions:

Flexibility to work from home and in theoffice with frequent collaboration within and across teams.

Must have flexibility in work schedule to accommodate variety of deadlines.

Domestic travel may be required on occasion.

Minimum Requirements:

Minimumof Bachelor s degree in Finance or related field.

Six to ten years ofexperience in financial analysis, mergers and acquisitions, or the capitalmarkets.

Preferred Qualifications:

A high level of motivation and demonstrated aptitude in problemsolving financial and transactional analysis, with a strong attention todetail strongly preferred.

Excellentinterpersonal skills and executive presence, as this position requiressignificant interface with outside stakeholders and the senior managementteam.

Knowledge of power and utility industry preferred

Additional Knowledge, Skills and Abilities:

Critical thinking skills with ability to independently determine appropriate course of action in most circumstances

Ability to work in fast paced environment with attention to detail and ability to handle multiple assignments on atimely bass

Project management and complex financial modeling skills

Adapts effectively to new and changingenvironments
