Secondaryresponsibilities include substantial participation in corporate income taxreporting function (regulatory compliance and CCAR).EssentialJob Functions:Be a strategic advisor, provide tax guidanceand tax planning opportunities to optimize income tax liabilities and enhancethe financial position of the Company.

Directs the corporate income tax team on thepreparation, review and timely filing of consolidated/combined/separate income taxreturns, including tax credit calculations, state apportionment schedules, tax payments andattachments to the returns

Drives the annual and quarterly ASC 740process and any related footnote disclosures.

Oversees the federal and state income taxaudits, statutory audits and internal auditprocesses.

Directs and ensures the implementation ofoperational policies through subordinated managers.Ensures establishment of proper tax policies,tax procedures and tax charters.

Partners and builds critical relationshipswith other internal organizations to provide tax advice and identify tax planningopportunitiesresulting from changes inbusiness processes or operations.

Directs research, analysis and interpretationof corporate income tax laws, regulations, statutes and other relevantguidance. Synthesize complex income tax issues and communicate them in a clearand succinct manner.

Evaluates the Company's financial orientationfor risk and ensure that tax strategies are kept within the overall financialplans and company objectives

Provides assistance with SOX 404 compliance. Regulatory reportingand CCAR reporting

Manages initiatives to increase productivity and efficiency of thetax compliance and reporting process.

OtherJob Duties:Provides oversight andaccountability on the Company's overall income tax affairs, including compliance,accounting for income taxes, technical research, process improvement, risks andcontrols assessment.

Manages ad hoc tax projects (legalentity rationalization, acquisitions, reorganizations and guide the Company'snew initiatives from a tax perspective.

Leads, mentors and develops theincome tax team, encouraging a positive environment whereby team members arechallenged and motivated to do their best.

QualificationsRequired Experience:Requires broadmanagement knowledge to lead project teams in one department.

Typically has masterylevel knowledge and skills within a specific technical or professionaldiscipline with broad understanding of other areas within the job function.

Requires 12-15 years minimumprior relevant experience.

Education:CPA

Bachelor’s Degree

Masters in Tax-preferred

Skills:Thorough knowledge of federal and state incometaxation.

Working knowledge of international tax issues(specifically relating to US tax reporting).

Working knowledge of ASC 740, FIN 48 and IFRS.

Strong leadership skills, high energy, initiative and creativity- with a proven ability to manage significant initiatives acrossorganizations

Analytical and research skills, including the abilityto determine level of risk concerning an actual or proposed transaction.

Planning and organizing.

Hands-on and detail oriented.

Presentation skills.

Excellent written and verbal communication skills.

OneSource taxsoftware processing skills to meet the job requirements relating to taxcompliance and tax provision
