Corporate Paralegal

Description ROBERT HALF LEGAL is partnering with a large corporation in sunny Los Angeles is seeking a Corporate Paralegal to interface across business units and be a key support to the General Counsel. You would manage department functions, including but not limited to: legal documents, reporting obligations, transaction and financing activities and due diligence. You will be able to work independently as well as initiate and identify process improvements while maintaining an organized file system: great if you are self-motivated! You will need to go on site 5 days a week in Santa Monica.Requirements Your duties will include:

Preparing legal documents such as briefs, pleadings, appeals, contracts, initial and amended articles of incorporation, stock certificates and other securities, buy-sell agreements, closing papers and binders, deeds, and trust instruments for review, approval, and use by Chief Legal Officer.

Managing and tracking the calendaring and fulfillment of periodic reporting obligations, including diligence reports under license agreements.

Supporting financing activities, including capital market transactions.

Supporting transaction activities, including due diligence support.

Initiating new assignments and identify ways to improve processes and operations.

Managing appropriate corporate and due diligence documents.

Maintaining file systems.

Paralegal Certificate or equivalent experience.

Bachelors Degree minimum in related field.

4+ years of relevant experience as a corporate paralegal.

Westlaw and LexisNexis.
