Corporate Paralegal
Description Robert Half Legal Permanent Placement is seeking a seeking a highly skilled and experienced Corporate Paralegal to provide critical support to our General Counsel and Associate General Counsels. This role is essential to ensuring the smooth and efficient operation of our legal department, with a strong emphasis on corporate governance, transactional support, and contract management. The ideal candidate will be a proactive problem-solver with exceptional organizational skills, a keen eye for detail, and the ability to handle sensitive information with discretion and confidentiality. This position requires a deep understanding of corporate law and procedures, and the ability to work independently as well as collaboratively within a dynamic legal team. This is a hybrid role with a fantastic company with VERY low turnover! Room to grow. Responsibilities:
Corporate Governance:
Manage and maintain corporate records, including minute books, stock ledgers, and other essential documents.
Prepare and file necessary documents for entity formation, qualification, and maintenance across various jurisdictions.
Oversee compliance with state and federal regulations, including annual reporting and other filings.
Assist with corporate transactions, such as mergers, acquisitions, and dissolutions.
Draft and review corporate resolutions, consents, and other governance documents.
Transactional Support:
Support attorneys in a variety of transactions, including contract drafting, review, and negotiation.
Conduct due diligence research and analysis.
Manage closing processes, including preparing and organizing closing documents.
Assist with real estate transactions, including title review and coordination. [Adjust this based on the original job description's focus]
Contract Management
:Maintain and manage the company's contract database, ensuring accuracy and completeness.
Track key contract provisions and deadlines.
Assist with contract renewals and terminations.
Litigation Support:
Provide support to attorneys in litigation matters, including document gathering and review.

Special Projects:
Conduct legal research and analysis on a variety of issues.
Assist with special projects as assigned by the General Counsel.
Requirements
Qualifications:
Bachelor's degree and Paralegal Certificate required.
Minimum of [Number] years of experience as a Corporate Paralegal.
Extensive knowledge of corporate law and procedures.
Strong understanding of contract law and principles.
