We are seeking to fill Senior Manager and Manager roles for merger and acquisition ("M&A) financial advisory services to KKR & Co., a Global Crown Jewel client of the firm and its strategic portfolio company investments served by the SAS group (Special Acquisition Services) KKR is a global investment firm that manages investments across multiple asset classes, including private equity (health care, industrials, technology, retail/consumer, etc.), energy, infrastructure, real estate, credit strategies and hedge funds. KKR's private equity business makes equity investments in all industries that Deloitte serves. We work with these clients on the full range of deal execution issues, including due diligence, tax and accounting structuring, merger integration and post transaction considerations. Our multi-disciplinary approach combines M&A, industry and other function specialists to provide fact-based answers and objective feedback geared to minimizing risk and increasing returns.Work you'll doThe fast pace of this assignment will accelerate the career development for high-potential professionals and future PPMD leaders to contribute to Deloitte's long standing, strategic relationship with KKR. As a technical expert with deep exposure to accounting issues and reporting requirements, you will research and work with M&A teams on a broad spectrum of technical accounting matters including complex issues in accounting for business combinations, consolidations, share-based compensation, revenue recognition, leases, intangibles and financial instruments. In addition, you will have the opportunity to directly deliver highly valued service to clients through working on a diverse array of M&A engagements. You will lead and assist KKR and its portfolio companies in a broad range of financial and accounting advisory transaction-related services such as: -

Identify and evaluate business, industry, financial, accounting to tax risk related transactions and their potential implications

Identify potential "deal breakers", industry, country, and deal-specific risks and opportunities

Evaluate targets' historical and projected earnings and cash flows; hidden contingencies, commitments, and exposures; as well as quality of assets and internal control structure

Review and comment on financial and accounting considerations in client's investment models, stock purchase or merger agreements, bank finance agreements and public debt offering documents

Assist in structuring purchase price adjustment mechanisms and other relevant transaction terms in stock purchase or merger agreements

Identify integration and post-transaction transition issues

Assist with divestiture strategy, planning, and execution

Bachelor's Degree in Accounting or related field

Minimum 5 years of US GAAP (or IFRS) Accounting experience

Willingness to relocate to New York City or San Francisco

Ability to convey complex accounting/finance topics to business executives verbally and in writing

Ability to work efficiently and effectively in a remote environment

Must meet U.S. criteria for demonstrated sustained high performance

Willingness and ability to accommodate unpredictable and last-minute travel

Meet regional travel requirements, including ability to obtain a U.S. driver's license

Ability to travel up to 25%, on average, based on the work you and the clients and industries/sectors you serve

High level of English proficiency as confirmed by home Member firm

Must have completed level-specific global learning requirements, consistent with home Member Firm level, prior to assignment start

Commitment from home Member Firm to repatriate following the assignment period end date

Opportunity contingent upon ability to enter the United States and provide required evidence of valid U.S. work authorization

Limited immigration sponsorship is available

Preferred:

CPA, CA certification

Masters in Finance, Accounting, or Business Administration

Audit experience with large public accounting firm

This compensation range is specific to New York City and California and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $130,928 to $218,213.You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
